Harbinger Group Inc. Announces Launch Of Its Add-On Senior Unsecured Notes Offering

NEW YORK, Sept. 8, 2014 /PRNewswire/ -- Harbinger Group Inc. ("HGI" or the "Company") announced today an offering of $200 million in aggregate principal amount of senior unsecured notes.  The notes are expected to be issued under the same indenture governing the Company's $550 million aggregate principal amount of 7.750% Senior Notes due 2022.  The Company expects to use the net proceeds from the issuance of the notes for working capital by it and its subsidiaries and for general corporate purposes, including the financing of future acquisitions and businesses and its share repurchase program.  The offering is subject to market conditions and other factors.

The offering will be made solely by means of a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to certain persons in offshore transactions pursuant to Regulation S under the Securities Act.

The notes to be issued in the offering have not been and will not be registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act.
